Private companies are no longer required to have a company secretary and almost two thirds of new company registrations are now made without one in place.  However, the jobs normally done by the company secretary have not been abolished or reduced.  In most cases directors must do them or see that they are done, and in some cases a director’s signature is required.  The penalties for getting it wrong can be painful.
